These Terms of Service (“Terms”) govern your access to and use of:

• The website at https://neuromoney.io;
• The NeuroMoney web application and related APIs (including tools for shopping, subscriptions, and bills); and
• Any emails, content, or services we provide through the website or app (together, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services. You must be at least 18 years old to create an account or use the Services.

1. Who We Are

The Services are operated by Luke Henderson trading as “NeuroMoney” (“NeuroMoney”, “we”, “us”, or “our”). Our core mission is to provide an ADHD- and autism-friendly personal finance visibility tool that reduces cognitive load and helps you understand your money commitments.

2. What NeuroMoney Is (and Is Not)

NeuroMoney provides tools to help you:

• Plan shopping using product lists and product widgets;
• Track subscriptions and recurring bills (names, costs, dates, and types);
• Visualise your commitments via charts, breakdowns, and summaries; and
• Export your data (for example, to CSV) for your own records.

NeuroMoney does not:

• Provide personalised financial, investment, legal, tax, or accounting advice;
• Execute payments, manage bank accounts, or hold funds on your behalf;
• Act as a broker, financial adviser, or fiduciary; or
• Guarantee any particular financial outcome, savings, or performance.

Any information or insights provided by the Services are for general informational and organisational purposes only. You should obtain independent professional advice before making financial, investment, tax, or legal decisions.

3. Eligibility and Accounts

• You must be at least 18 years old to use the Services.
• You must provide accurate and complete information when creating an account and keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You agree to notify us immediately if you suspect unauthorised access to your account or other security breach.

4. Early-Access Waitlist

You may join the NeuroMoney waitlist by providing your email address. By doing so, you consent to receive communications about:

• Early-access invitations;
• Product updates and roadmap changes;
• Launch announcements and occasional post-launch updates;
• Optional feedback or research requests.

Joining the waitlist does not guarantee early access or any particular feature set or timeline. We may modify or discontinue early-access programmes at any time.

5. Access to and Use of the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial use.

5.1 Acceptable use

You agree that you will NOT:

• Use the Services in any unlawful way or in violation of any applicable law or regulation;
• Attempt to gain unauthorised access to any part of the Services, or to other users’ data or accounts;
• Interfere with or disrupt the integrity or performance of the Services, including by overloading, spamming, or attacking our systems;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Services, except where permitted by law;
• Use the Services for any activity that constitutes harassment, abuse, or other harmful behaviour toward others;
• Use automated tools (such as bots or scrapers) to access the Services, except as expressly permitted by us in writing;
• Upload or store malicious code, viruses, or other harmful software.

5.2 Beta features and changes

Some parts of the Services may be released as beta or experimental features. These may change, break, or be removed without notice. We do not guarantee that beta features will be released as part of the main product.

6. User Data and Content

When you enter data into NeuroMoney (for example, product lists, subscriptions, or bills), you remain the owner of that data. You grant us a worldwide, non-exclusive, royalty-free licence to use, host, store, reproduce, and display that data solely for the purposes of operating, improving, and providing the Services to you, and as otherwise described in our Privacy Policy.

You confirm that:

• You have the right to input the data you store in NeuroMoney;
• Your use of that data with the Services does not infringe or violate any rights of others;
• You will not use the Services to store or transmit unlawful, defamatory, or abusive content.

7. Third-Party Services and Links

The Services may integrate with or provide links to third-party services, including:

• Email service providers (such as MailerLite);
• Product data APIs (such as Amazon Product Advertising API, eBay Developer Program, Walmart Developer APIs);
• Content platforms (such as YouTube, for embedded videos);
• Other websites or resources that we do not control.

These third parties are independent of NeuroMoney and have their own terms and privacy policies. Your use of those services is at your own risk and subject to their respective terms, not these Terms.

References to third-party products or services do not imply endorsement or sponsorship by NeuroMoney, nor that those third parties endorse or sponsor NeuroMoney. “Amazon”, “eBay”, “Walmart”, and their logos are trademarks of their respective owners.

8. Privacy

Our Privacy Policy explains how we collect, use, and protect your personal data when you use the Services. By using the Services, you acknowledge that your personal data will be handled in accordance with the Privacy Policy, as updated from time to time.

9. Fees and Future Paid Features

At the time these Terms were last updated, NeuroMoney may be available as a free or early-access service. In the future, we may introduce:

• Paid plans or subscriptions;
• Additional features or tiers with associated fees.

If we do, we will provide clear information about applicable fees and billing terms, and we may require you to accept updated terms or a separate agreement before using paid features.

10. Disclaimers

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. We specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Without limiting the above, we do not warrant that:

• The Services will meet your requirements or expectations;
• The Services will be uninterrupted, timely, secure, or error-free;
• Any data, insights, or information obtained through the Services will be accurate, complete, or reliable;
• Defects or errors will be corrected.

You understand and agree that your use of the Services and any decisions you make based on the information provided are at your own risk.

Nothing in these Terms excludes or limits any warranty, condition, or guarantee to the extent that doing so would be unlawful under applicable consumer protection laws. If you are a consumer, you may have additional rights that cannot be excluded or limited by contract.

11. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for:

• Death or personal injury caused by negligence;
• Fraud or fraudulent misrepresentation; or
• Any other liability that cannot be excluded under mandatory law.

Subject to the preceding paragraph, and to the fullest extent permitted by law:

• NeuroMoney will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of (or inability to use) the Services; and
• The total aggregate liability of NeuroMoney for all claims arising out of or in connection with the Services or these Terms will not exceed the greater of £50 (fifty pounds sterling) or the total amount you paid (if any) for use of the Services in the six (6) months immediately preceding the event giving rise to the claim.

In some jurisdictions (including certain UK/EU member states and US states), limitations and exclusions of liability are permitted only to a certain extent. In those jurisdictions, the limitations and exclusions in this section apply only to the extent permitted by law.

12. Your Responsibilities

You are responsible for:

• Ensuring the accuracy of data you enter into NeuroMoney;
• Backing up your own financial records if you rely on them for legal, tax, or accounting purposes;
• Obtaining independent professional advice before making financial or legal decisions;
• Complying with all applicable laws and regulations when using the Services.

13. Indemnity

To the fullest extent permitted by law, you agree to indemnify and hold harmless NeuroMoney from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Services in violation of these Terms;
• Your violation of any rights of another person or entity;
• Your breach of any applicable law or regulation.

14. Suspension and Termination

We may suspend or terminate your access to the Services (in whole or in part) if:

• You materially breach these Terms or our Privacy Policy;
• We reasonably believe your use of the Services is unlawful, harmful, or poses a risk to us or other users;
• We decide to discontinue some or all of the Services for business or legal reasons.

Where appropriate and feasible, we will try to provide notice before suspension or termination. Following termination, your right to access and use the Services will cease. Our rights to use and retain certain data about you are governed by the Privacy Policy.

15. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales, without regard to conflict-of-law principles.

If you are a consumer resident in the UK or EU, you may benefit from mandatory provisions of the law of your country of residence, and you may have the right to bring claims in the courts of your country of residence. Nothing in these Terms limits those rights.

Subject to any consumer rights that give you the option of local courts, the courts of England and Wales will have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Services.

16. Users in the United States

If you are a user located in the United States:

• The limitations of liability and disclaimers set out above apply to the fullest extent permitted under the laws of your state;
• Nothing in these Terms is intended to limit any non-waivable rights you may have under applicable consumer protection laws; and
• Your local state law may grant you additional rights relating to privacy and consumer protection (see our Privacy Policy for more information on how we handle personal data).

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. If changes are material, we will take reasonable steps to notify you (for example, via email or an in-app notice). Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
